Receiptally Terms of Service
Effective date: 5 June 2026
These Terms of Service ("Terms") govern your access to and use of the Receiptally website at receiptally.app, including the interactive one-scan demo and the launch waitlist (together, the "Service"). Receiptally is a product and brand of Whispa (Pty) Ltd ("Whispa", "we", "us", "our"), a company registered in the Republic of South Africa under registration number 2025/060253/07, with its registered office at 20C Corsair Road, Milnerton, Cape Town, 7441.
Please read these Terms carefully. By accessing or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.
1. What these Terms cover (and what they do not)
These Terms currently cover only the Receiptally website, the one-scan demo, and the waitlist. The Receiptally mobile apps for iOS and Android are not yet released. Terms governing the apps — including any subscription, billing, and end-user licence terms — are not yet in force and appear only as a clearly-marked placeholder in section 14 below ("Applies when the apps launch"). Nothing in section 14 is binding until the apps are released and those terms are published.
Your privacy is addressed separately in our Privacy Policy, which forms part of these Terms by reference. See section 10 (Privacy) and the cross-reference there.
2. Acceptance and eligibility
- By using the Service you confirm that you are at least 18 years old and have the legal capacity to enter into a binding contract.
- The Service is not directed to children. We do not knowingly collect personal information from anyone under the age of 18. If you believe a child has provided us with personal information, please contact us at privacy@receiptally.app so we can delete it.
- If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
- Your use of the Service must comply with all applicable laws, including the laws of the Republic of South Africa.
3. The demo — what it is
The demo lets you try Receiptally's receipt-scanning experience by scanning a single receipt directly in your browser, without creating an account. It exists so you can evaluate how Receiptally works before the apps launch.
- To run a scan, the demo signs you in anonymously using Firebase Authentication and verifies that the request comes from a genuine browser using Google reCAPTCHA Enterprise (via Firebase App Check). No name, email, or account is required to scan.
- When you scan a receipt, the receipt image is sent transiently to Google's Gemini API solely to extract the data shown on the receipt (such as the merchant, total, and line items). The image is not stored on our servers or backend. The extracted data is returned to your browser and stored only in your browser's local storage on your own device. We do not keep a copy of your receipt image or the extracted data (other than an anonymous scan-count record used to enforce the demo limit, described in the Privacy Policy).
- The demo is limited to one scan. This limit is enforced by our server and is currently set to one scan per user; the limit is configurable from our backend and may change.

4. Licence to use the demo
Subject to these Terms, Whispa grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the demo for your own personal, non-commercial evaluation of Receiptally. This licence exists only so that you can try the Service; it grants you no other rights.
We may suspend, withdraw, or change the demo — in whole or in part — at any time, with or without notice. The demo is offered free of charge and we are under no obligation to keep it available.
5. Acceptable use
You agree that you will not, and will not attempt to:
- circumvent, disable, reset, or otherwise interfere with the server-enforced one-scan demo limit, including by clearing local storage, using multiple anonymous sessions, or using multiple devices or networks to obtain additional scans;
- access or use the Service through any automated means — including bots, scrapers, crawlers, or scripts — or use the Service to send automated, bulk, or programmatic requests;
- defeat, probe, or interfere with our bot-detection, rate-limiting, or abuse-prevention measures (including Firebase App Check and Google reCAPTCHA Enterprise);
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Service, except to the extent this restriction is prohibited by applicable law;
- copy, modify, distribute, sell, lease, or create derivative works of the Service or any part of it;
- upload or transmit any malware, malicious code, or content that is unlawful, infringing, or that you do not have the right to submit;
- use the Service to infringe the rights of others, to harass, or for any unlawful, fraudulent, or harmful purpose;
- impose an unreasonable or disproportionately large load on our infrastructure, or otherwise disrupt the integrity or performance of the Service.
We may suspend or terminate your access to the Service immediately if we reasonably believe you have breached this section.
6. The waitlist
You can join the launch waitlist to be notified when Receiptally is released. Joining the waitlist is entirely voluntary.
- What we collect. When you join the waitlist, we collect your email address and your platform preference (iOS, Android, or both).
- How we store it. Your email address is stored on our backend in plaintext (not hashed or encrypted at rest). Your platform preference is stored alongside it.
- Beta-testing enrolment. Joining the waitlist also enrols your email address in our beta-testing programme so that you can be invited to test pre-release builds of Receiptally. This programme currently runs on Firebase App Distribution and may move to Apple TestFlight or Google Play testing. By joining, you consent to your email being shared with the relevant testing platform for this purpose.
- How long we keep it. We retain your waitlist email only until Receiptally launches. At launch, the waitlist form is removed and all collected waitlist emails — including any copies held in our beta-testing tool — are permanently and irrecoverably deleted. You can ask us to delete your email earlier, at any time (see "How to unsubscribe" below).
- Voluntary; consequences of not supplying. Providing your email and platform preference is voluntary, and no law requires it. If you choose not to provide them, the only consequence is that we will not be able to notify you when Receiptally launches and you will not be enrolled in the beta-testing programme. You can still use the rest of the website.
- How to unsubscribe. To withdraw from the waitlist and have your email deleted, email us at privacy@receiptally.app. Withdrawing is as easy as joining. Any marketing or launch-notification emails we send will also include an unsubscribe option.

7. Intellectual property
Our rights
The Service — including the Receiptally software, design, user interface, layout, graphics, text, logos, the "Receiptally" name and brand, and all related intellectual property — is owned by Whispa or its licensors and is protected by South African and international intellectual-property laws. Except for the limited licence granted in section 4, these Terms give you no right, title, or interest in the Service or any of our intellectual property. All rights not expressly granted are reserved.
Your receipt content
You retain ownership of the content of any receipt you scan using the demo. We do not claim ownership of your receipts or the data extracted from them.
By scanning a receipt, you grant Whispa a limited, non-exclusive licence to process that receipt image and its contents solely for the purpose of providing the demo to you — that is, to transmit the image transiently to Google's Gemini API for data extraction and to return the extracted data to your browser. This licence is limited to what is necessary to perform the scan you requested. As described in section 3 and the Privacy Policy, we do not store your receipt image or the extracted data on our servers, and the licence does not extend beyond providing the scan you asked for.
8. Demo limit and changes to the Service
The demo's one-scan limit is enforced by our server and is currently set to one scan. The limit is configurable from our backend and we may change it, reset it, or remove the demo at any time, for example when we publish new versions of the Service. Attempting to circumvent the limit is prohibited under section 5.
We may add, change, suspend, or remove features of the Service at any time without notice. Because the Service is offered free of charge during this pre-launch period, we are not obliged to maintain any particular feature or availability level.
9. Service provided "as is" (pre-launch)
The Service is a free, pre-launch evaluation tool and is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable law. This includes, without limitation, any implied warranties or conditions of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time.
- Because the demo relies on automated data extraction by Google's Gemini API, we do not warrant that the data extracted from any receipt will be accurate, complete, or correct. You should not rely on the demo's output for any financial, tax, accounting, or other important purpose.
- The demo and the apps are not intended for processing health information or other special personal information, and you should not rely on them for that purpose.
- The Service may contain bugs, errors, or incomplete features and may be changed or withdrawn at any time.
Nothing in these Terms excludes or limits any liability, warranty, or right that cannot lawfully be excluded or limited, including any rights you may have under the Consumer Protection Act, 2008, or other applicable South African law.
10. Privacy
Our collection and use of personal information through the Service is governed by our Privacy Policy, which forms part of these Terms. The Privacy Policy explains, among other things, what we collect, how the demo sends receipt images transiently to Google's Gemini API for extraction (and that, on our paid tier, Google does not use that data to train its models), that we do not store your receipt images or extracted data on our servers (though we do store your waitlist email if you provide it — see section 6), how we handle your waitlist email, our use of Firebase App Check and Google reCAPTCHA Enterprise for bot detection, international transfers and the basis we rely on for them, and your privacy rights under POPIA, the GDPR, and the CCPA/CPRA — including your right to lodge a complaint with the Information Regulator (South Africa) or your local supervisory authority, whose contact details appear in the Privacy Policy.
By using the Service, you also acknowledge our use of Firebase Authentication (anonymous sign-in), Firebase App Check, and Google reCAPTCHA Enterprise to operate and protect the demo, as described in the Privacy Policy.

11. Limitation of liability
To the maximum extent permitted by applicable law, and given that the Service is provided to you free of charge during this pre-launch period:
- Whispa, its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
- To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Service and these Terms is limited to the amount you paid us for the Service, which for this free pre-launch Service is zero.
Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited — including liability for fraud, or for death or personal injury caused by negligence, or any non-excludable rights under applicable South African consumer-protection law.
12. Indemnity
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Whispa, its directors, employees, and suppliers from and against any claims, liabilities, damages, losses, and reasonable expenses (including reasonable legal fees) arising out of or connected with: (a) your breach of these Terms; (b) your misuse of the Service, including any attempt to circumvent the demo limit or our abuse-prevention measures; (c) your violation of any law or of the rights of any third party; or (d) any content you submit through the Service that you did not have the right to submit.
13. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms or to protect the Service, our users, or third parties. You may stop using the Service at any time. Sections that by their nature should survive termination — including sections 7 (Intellectual property), 9 (As is), 11 (Limitation of liability), 12 (Indemnity), 15 (Governing law), and 17 (General) — will survive.
14. Applies when the apps launch (placeholder — not yet in force)
The Receiptally iOS and Android apps are not yet released. When they launch, we will publish additional terms governing their use. Those terms are not yet in force and the summary below is a non-binding indication only:
- An end-user licence governing your use of the apps.
- How the apps store your extracted receipts and images on your own device only, never on our servers, and how optional OS-level backup to your own iCloud or Google account is governed by those providers.
- Any subscription, pricing, and billing terms. We are not publishing live subscription or billing terms at this time, and none are in force. Subscription verification is not implemented. Any future subscriptions will also be subject to the terms of the applicable app store (Apple App Store or Google Play).
- Opt-in, default-off usage analytics and crash reporting, which you will be able to enable or disable in the app's settings.
Until those terms are published and you accept them, nothing in this section applies to you.
15. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by the laws of the Republic of South Africa. You agree to submit to the non-exclusive jurisdiction of the South African courts.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, where the changes are material, take reasonable steps to bring them to your attention. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service.
17. General
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Whispa regarding the Service and supersede any prior agreements on that subject.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
